By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2.1 Lilo Solace Platform

Lilo Solace is a multi-agent therapeutic AI platform designed for senior mental health care, featuring:

  • Seven specialized therapeutic AI agents
  • Adaptive wellness monitoring (Cadence Engine)
  • Crisis detection and safety assessment
  • Family engagement and transparency tools
  • Clinical decision support and care coordination

2.2 Website and Marketing Services

Our website provides information about our platform, clinical evidence, demo requests, and customer support resources.

2.3 Professional Services

We may provide implementation support, training, clinical consultation, and custom reporting services.

3. Eligibility and Registration

3.1 Eligibility Requirements

You must meet the following requirements to use our Services:

  • Be at least 18 years of age
  • Have legal authority to enter into binding agreements
  • Be authorized to act on behalf of your healthcare organization (if applicable)
  • Comply with all applicable laws and regulations

3.2 Account Registration

Important: Our AI agents and clinical decision support tools are designed to assist, not replace, professional clinical judgment. All clinical decisions must be made by qualified healthcare professionals. We do not provide medical advice, diagnosis, or treatment.

4.3 Emergency Situations

While our platform includes crisis detection capabilities, it should not be relied upon as the sole method for identifying emergency situations. Healthcare facilities must maintain appropriate emergency protocols and professional oversight.

5. User Responsibilities

You agree to use our Services only for their intended purpose and in accordance with:

8. Service Availability and Support

Technical support is provided according to your service plan. Emergency support for crisis-related issues is available 24/7 for active subscribers.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 Exclusion of Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9.4 Healthcare Disclaimer

OUR SERVICES ARE TOOLS TO ASSIST HEALTHCARE PROFESSIONALS AND DO NOT REPLACE PROFESSIONAL MEDICAL JUDGMENT. WE ARE NOT LIABLE FOR CLINICAL DECISIONS MADE USING OUR SERVICES OR FOR ANY MEDICAL OUTCOMES.

10. Termination

10.1 Termination by You

You may terminate your use of the Services at any time by closing your account or discontinuing use. Paid subscriptions may be subject to notice requirements as specified in your service agreement.

10.2 Termination by Us

We may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, or if continued provision of Services would violate applicable laws.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will provide reasonable assistance in data export, subject to technical limitations and legal requirements.

11. Governing Law and Dispute Resolution
